Letspartynaked grants to affiliate a limited, non-exclusive, non-transferable license, during the term of this agreement, to use banners, and other intellectual properties owned by Letspartynaked for the sole purpose of marketing, advertising and promoting Letspartynaked. The affiliate may not alter or modify the link, banner, graphic or any other marks in any way without the prior written permission of Letspartynaked. The license herein granted shall automatically and immediately cease upon the termination of this agreement.

The rights granted herein shall be for reasonable, appropriate and lawful use only.

Affiliate payouts: The payment program is administered by Internet Billing Company (hereinafter referred to as "Ibill") and is as follows:

Affiliate will be paid 50% for each initial monthly sign-up amount resulting from a visitor sent from the affiliate. The affiliate will also earn additional money in the amount of 25% from the recurring monthly subscription fees for as long as the user that the affiliate sent remains an active member of Letspartynaked. The affiliate's percentage is calculated against the "net sales," which means gross revenues less refunds and charge backs.

Affiliate's balances will be adjusted for their percentage of refund or charge backs that results from sales referred by them. This means that Letspartynaked and the affiliate each take on their portion of the refund/charge back responsibility, as determined by the original split.

Payments will be made twice monthly by Ibill on the 8th and 22nd All payments will be made by check in U.S. dollars, unless otherwise arranged. Each payout date covers the two-week billing period that ended approximately three weeks prior. This means that the payout of the 8th is for all transactions that took place from the 1st through the 15th of the previous month and the payout of the 22nd is for all transactions that took place from the 15th through the end of the previous month.

Minimum revenue requirements: There is currently no minimum revenue requirement to participate in the Letspartynaked's Affiliates Program. We reserve the right to change this policy in the future as we see fit.

Services covered: At this time, Ibill's program works only with Subscription Sales Reseller (credit card and online checks). Web900 signups are not included and cannot be tracked by Ibill. When Ibill develops this ability, all affiliates will automatically be credited with Web900 signups from that point on. The payout may differ from that of credit card and online check payouts.

Stats: All payment statistics during a month will be available for the affiliate to view using Ibill's CMI reports, which can be accessed at http://www.ibill.com.

You, as affiliate, warrant and represent that you own or operate a lawful, and otherwise valid Internet website. You further represent that you have the requisite power and authority to enter into this agreement and perform the obligations set forth herein and that you are an adult at least 18 years of age; that performance under this agreement does not and will not constitute a breach of any existing contract or obligation undertaken by you; and that there are no outstanding orders, judgments, decrees, rules or regulations which would preclude you from entering into this agreement. You shall indemnify Letspartynaked and its owners, employees and assigns against any loss, damage, liability (including reasonable legal fees), which result from the use of any of Letspartynaked's materials not expressly authorized by this Agreement.

You, as affiliate, will not engage in abusive spamming practices. If we receive complaints about such activities, the affiliate's account will be reviewed and subject to immediate termination and denial of payment. This is true regarding any public forums including but not limited to Usenet and bulletin boards and any chat forums including but not limited to America Online or IRC.

Disclaimer and limitation of liability: Letspartynaked makes no warranties either express or implied with regard to the performance of the link or the content of Letspartynaked's sponsors' site or sites. Letspartynaked expressly disclaims any warranties, including that of merchantability or fitness for a particular purpose. Letspartynaked shall not be held liable to the affiliate or any other person or entity, including users of Letspartynaked's services, for any losses, injuries or damages of any kind, arising from or in connection with any mistakes, omissions, delays, errors, interruptions in the transmission or receipt of Letspartynaked's services or content.
